Linc – Terms of Service

1. Acceptance of Terms
Linc ("Linc" or the "Service") is a mobile application provided by Growth Logistics ("Company", "we", "us", or "our"). Linc connects college students ("Students") with Learning Assistants ("LAs") to schedule and participate in study sessions. By creating an account or using Linc, you agree to these Terms of Service ("Terms") in full. If you do not agree, you must not use the Service.
2. Accounts and Eligibility
- Student/LA Eligibility: Linc is intended for use by students and learning assistants affiliated with participating educational institutions. You must be enrolled in (or employed by) a college or university and register with a valid .edu email address to create an account. We may require email verification to confirm your affiliation.
- Age Requirement: Linc is designed for adult college students. If you are under the age of 18 (or the age of majority in your jurisdiction), you affirm that you have obtained parental or guardian consent to use Linc. Users under 13 years old are not permitted to use Linc.
- Account Registration: When creating an account, you agree to provide accurate, current, and complete information, including your name and .edu email. You are responsible for keeping your registration information up-to-date. Each user may maintain only one account, and you must not impersonate anyone or provide an email that you do not own or have permission to use.
- Account Security: You are responsible for maintaining the confidentiality of your account login credentials. Do not share your password or allow others to use your account. You are liable for all activities that occur under your account. If you suspect unauthorized use of your account, notify us immediately.
3. Permitted Use and Conduct
By using Linc, you agree to use the Service only for its intended educational purpose and in compliance with these Terms and all applicable laws. You agree that you will NOT:
- Use Linc for any unlawful, fraudulent, or malicious purpose, or to facilitate or promote any violation of law or academic policies (including not using Linc to cheat, plagiarize, or violate your institution’s academic integrity rules).
- Harass, threaten, or discriminate against any other user, or engage in any misconduct during communications or study sessions. You must treat LAs and fellow students with respect and professionalism.
- Post or transmit any content that is offensive, obscene, or infringing on others’ rights. This includes not sharing answers or materials you don’t have the right to share.
- Attempt to disrupt the Service or another user’s experience (for example, by introducing viruses, hacking, or using bots/automated scripts). Unauthorized access, reverse engineering, or any attempt to interfere with Linc’s normal operation is strictly prohibited.
- Use Linc for any commercial purpose or for the benefit of any third party not authorized by the Company. The Service is for your personal, educational use only.
We reserve the right to investigate and take appropriate action (including suspension or termination of your account) for any misuse of Linc or violation of these rules.
4. No Academic Outcome Guarantee
Linc aims to facilitate productive study sessions, but we make no guarantee of any specific academic results or grade improvement from using the Service. Every student’s performance depends on many factors outside our control. You acknowledge that Linc and the LAs do not promise better grades or academic success.
5. Service Features and Changes
Linc is provided to Students and LAs free of charge. (Your institution may separately contract with us to fund the Service, but as a user you will not be charged for core features of Linc without your consent.) We may add, remove, or modify features of Linc at any time as we improve the platform. We reserve the right to introduce new features (or optional paid services) or to discontinue parts of the Service at our discretion. If we make material changes, we will update these Terms or notify you through the app. Continued use of Linc after changes indicates your acceptance of the revised Service and Terms.
6. Intellectual Property
- Our IP: All content and materials in Linc, including the software, design, text, graphics, logos, and the “Linc” name and logo, are owned by or licensed to the Company and are protected by intellectual property laws. We reserve all rights in and to our intellectual property. You are granted a limited, non-transferable license to use Linc for your personal educational use. You may not copy, distribute, modify, or create derivative works from our app or content without our prior written permission.
- User Content: In the course of using Linc, you may submit or share content (for example, messages, scheduling details, or study materials) with LAs or other Students. You retain any ownership rights you have in the content you create. However, by submitting or sharing content through Linc, you grant us a non-exclusive, royalty-free, worldwide license to use, transmit, display, and otherwise utilize that content as needed to provide the Service. This license is only for operating and improving Linc (including facilitating your sessions and communications). We will handle personal data in accordance with our Privacy Policy.
- User Content Responsibilities: You are responsible for any content you submit. You affirm that you have the necessary rights to any content you post or share and that such content will not infringe or violate the rights of any third party. We are not obligated to monitor user content, but we reserve the right to remove any content that violates these Terms or applicable law.
7. Privacy and Data
By using Linc, you agree that we can collect and use certain personal information as described in our Privacy Policy. This may include your name, .edu email address, and other information you provide or which is generated through your use of Linc. We use this data to operate and improve the Service (for example, to verify student status or to facilitate scheduling). We may share relevant data with your educational institution if required under our agreement with them or for safety and misconduct investigations. We value your privacy and will not sell or disclose your personal information to unrelated third parties for marketing without your consent. 8. Disclaimers (No Warranty)
Linc is provided “AS IS” and “AS AVAILABLE” without any warranty of any kind, express or implied. To the fullest extent permitted by law, we disclaim all warranties including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. In particular:
- Service Availability: While we strive to provide a reliable service, we do not guarantee that Linc will be uninterrupted, error-free, or secure at all times. Scheduled sessions may not always occur as planned; the Service could experience downtime, bugs, or delays. You assume the risk of any technical issues or data loss that may occur.
- Academic Advice: The Company is not responsible for the quality, accuracy, or outcomes of any advice or tutoring provided by LAs or other users. LAs are independent users (often students or staff of your institution), they are not employees or agents of the Company. We do not supervise the content of study sessions and do not guarantee the correctness or efficacy of any information or help you receive. Use of any tips or academic advice obtained through Linc is at your own discretion and risk.
- User Interactions: You understand that we do not screen or control the actions of LAs or student users, and we make no representations or warranties about any user’s behavior or credentials. Any meetings or communications with others through Linc are solely at your own risk. We are not liable for any conduct of any user (online or offline), and you agree that if you have a dispute or incident with another user, you release the Company from any claims, demands, and damages of every kind arising out of or connected with such dispute. However, we do encourage users to report any misconduct, and we may, at our discretion, intervene or remove users who violate our policies.
- No Guarantee of Outcomes: As noted, we do not guarantee any academic outcomes. We also do not guarantee the availability of any particular LA or that every study session request will be fulfilled.
- Third-Party Services: If Linc integrates or links with any third-party services (for example, if we use a video conferencing tool for virtual sessions), those services are outside our control. We make no warranty regarding any third-party service, and your use of them may be subject to those third parties’ terms.
Some jurisdictions do not allow the disclaimer of certain warranties, so some of the above may not apply to you. In such cases, our warranties will be limited to the minimum extent permitted by applicable law.
9. Limitation of Liability
To the maximum extent permitted by law, the Company (and our officers, directors, employees, and agents) will not be liable for any indirect, incidental, special, consequential, or punitive damages whatsoever, including but not limited to damages for lost profits, lost data, personal injury, emotional distress, or any other losses incurred as a result of using Linc or relying on any information or content on the Service. This limitation applies even if we have been advised of the possibility of such damages. In no event will our total cumulative liability to you for any claims arising out of or relating to this Service exceed the lesser of: (a) the total amount (if any) you have paid to us for the use of Linc in the 12 months preceding the claim, or (b) US $100.00. If you have paid us nothing, we shall have no liability for any claim, to the extent allowed by law.
Additional terms: You agree that our liability is limited and that you use Linc at your own risk. We are not responsible for any loss or damage to your data, or for any harm or injury resulting from unauthorized access to or use of our servers or any personal information stored on them. If your institution or another third party causes or contributes to any claim, our liability (if any) shall be limited to our proportionate share. Nothing in these Terms is intended to exclude liability that cannot be excluded under law (such as liability for personal injury caused by our proven gross negligence or willful misconduct).
10. Indemnification
You agree to indemnify, defend, and hold harmless the Company (and our affiliates, officers, agents, and employees) from any and all claims, liabilities, damages, losses, and expenses (including reasonable attorney’s fees) arising out of or related to your use of Linc, your violation of these Terms, your violation of any rights of a third party, or your misconduct or negligence in connection with the Service. This means you will reimburse us for any costs or damages we incur due to your breach of this agreement or improper use of Linc. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with us in asserting any available defenses.
11. Termination
By You: You may stop using Linc and terminate your account at any time. If you wish to delete your account, you can contact us at any time for assistance.
By Us: We reserve the right to suspend, terminate, or ban your account (or access to certain features) at our sole discretion for any reason, including if you violate these Terms, engage in misconduct, or if our agreement with your institution ends. We may also terminate or suspend the Service in its entirety (for all users) if necessary (for example, if the program is discontinued or during maintenance). We will endeavor to provide notice to you (e.g., via email or in-app notification) in the event of a broad service discontinuation or termination of your account, but we are not liable for failing to do so.
After termination, you will no longer have access to your Linc account or any data within it. If your account is terminated or banned due to a violation of these Terms or misuse of the Service, you may forfeit any future use of Linc, and we may inform your institution of the reason for termination if appropriate. We are not responsible for retaining or exporting your data after termination, except as required by law. Sections of these Terms that by their nature should survive termination (such as disclaimers of warranties, limitations of liability, indemnity, and governing law) will remain in effect.
12. Governing Law and Disputes
These Terms and your use of Linc are governed by the laws of the State of Florida, USA, without regard to its conflict of law principles. By using Linc, you agree that any dispute or claim arising out of or related to the Service or these Terms that cannot be resolved informally will be brought exclusively in the state or federal courts located in Florida. You and the Company consent to the personal jurisdiction of these courts and waive any objections on the grounds of venue or inconvenient forum.
If you are using Linc on behalf of an educational institution or another entity, you also agree that such entity will be bound by this section. Notwithstanding the above, the Company may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent any unauthorized use or abuse of Linc or violation of intellectual property rights.
Time Limit on Claims: To the extent permitted by law, any claim or cause of action arising out of or relating to your use of Linc or these Terms must be filed within one (1) year after such claim arose; otherwise, the claim is permanently barred.
13. Changes to Terms
The Company may modify or update these Terms from time to time. If we make material changes, we will update the “Last Updated” date at the top of this document and, if feasible, provide notice through Linc (for example, via an in-app alert or email). It is your responsibility to review these Terms periodically. Continued use of Linc after any updated Terms are in effect constitutes your acceptance of the changes. If you do not agree to a change, you must stop using the Service. No amendment to these Terms will apply to any dispute that we had actual notice of before the date of the amendment.
14. Miscellaneous
These Terms (along with the Privacy Policy and any other guidelines or policies we reference herein) constitute the entire agreement between you and the Company regarding your use of Linc. They supersede any prior agreements or understandings, whether written or oral, relating to Linc. If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remainder of the Terms will remain in full force. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to an affiliate or in connection with a merger or acquisition. There are no third-party beneficiaries to these Terms.
